1. Acceptance of Terms

By purchasing, downloading, or using any Ayelom software products, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use our products or services.

You must be at least 16 years of age to use our services. By using our services, you represent that you meet this age requirement.

2. Definitions

  • "Software" refers to any desktop application, tool, or product sold by Ayelom
  • "License" refers to the right to use the Software under these terms
  • "License Key" refers to the unique code provided upon purchase to activate the Software
  • "User," "You," "Your" refers to the individual or entity purchasing or using the Software
  • "We," "Us," "Our," "Ayelom" refers to Ayelom and its operators

3. License Grant

Upon purchase, we grant you a non-exclusive, non-transferable, revocable license to use the Software on the number of devices specified by your license type. This license is for personal or commercial use as applicable to the product.

License Types:

  • Personal License: Use on up to 2 devices owned by you
  • Professional License: Use on up to 5 devices within your organization

The license key provided is personal to you and may not be shared, sold, or distributed to others.

4. License Restrictions

You may NOT:

  • Share, sell, sublicense, rent, or distribute your license key
  • Reverse engineer, decompile, or disassemble the Software
  • Modify, adapt, or create derivative works based on the Software
  • Remove, alter, or obscure any proprietary notices, labels, or watermarks
  • Use the Software in violation of any applicable laws or regulations
  • Use the Software to create competing products
  • Circumvent or attempt to circumvent any license activation or copy protection
  • Use automated tools to extract license keys or activation codes

5. Payments, Pricing, and Taxes

All prices are displayed in USD unless otherwise stated. Payment is processed securely through Stripe at the time of purchase. We accept major credit cards and debit cards.

Taxes: Prices may not include applicable taxes. You are responsible for any sales tax, VAT, or other taxes required by your jurisdiction. Where required by law, we will collect and remit applicable taxes.

Price Changes: We reserve the right to change prices at any time. Price changes do not affect existing purchases.

6. Refund Policy

We offer a 14-day money-back guarantee from the date of purchase. You may request a refund if:

  • The Software does not function as described on our website
  • Technical issues prevent you from using the Software on your system
  • You have not excessively used or activated the license on multiple devices

Refunds will NOT be granted if:

  • The request is made after the 14-day period
  • You simply changed your mind about the purchase
  • Your license was terminated due to violation of these terms
  • You purchased the wrong product when the correct product was clearly described

7. Updates and Support

Your one-time purchase includes:

  • All future updates to the major version purchased (e.g., all 1.x updates)
  • Bug fixes and security patches
  • Email support for technical issues

Major version upgrades (e.g., v1.x to v2.x) may require a separate purchase or upgrade fee. Existing customers will receive discounted upgrade pricing.

Support Response Time: We aim to respond to support requests within 2 business days. Support is provided in English only.

8. Intellectual Property

All Software, documentation, content, trademarks, logos, and intellectual property remain the exclusive property of Ayelom. Your license grants usage rights only and does not transfer ownership of any intellectual property.

You may not use our trademarks, logos, or brand materials without prior written permission.

9. User Content and Output

You retain all rights to any content you create using our Software. We do not claim ownership over your work, outputs, or creative content.

You are solely responsible for ensuring your use of the Software and any resulting content complies with applicable laws and third-party rights.

10. Privacy and Data

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data.

By using our services, you consent to the collection and processing of data as described in our Privacy Policy, including license validation and device identification for activation purposes.

11. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY
  • UNINTERRUPTED OR ERROR-FREE OPERATION

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AYELOM, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR DATA
  • DAMAGES RESULTING FROM INTERRUPTION OF SERVICE

OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Ayelom and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Software; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your content or outputs created using the Software.

14. License Termination

We reserve the right to terminate or suspend your license immediately, without prior notice, if:

  • You violate any provision of these Terms
  • You engage in fraudulent activity or abuse
  • You attempt to circumvent license restrictions
  • Required by law or legal process

Upon termination, you must immediately cease all use of the Software and destroy any copies in your possession. License termination due to violation does not entitle you to a refund.

Voluntary Termination: You may terminate your license at any time by uninstalling the Software and requesting deletion of your account data.

15. Dispute Resolution

Informal Resolution: Before initiating any formal dispute resolution, you agree to contact us at support@ayelom.com to attempt to resolve the dispute informally.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Ayelom operates, without regard to conflict of law principles.

Jurisdiction: Any disputes arising from these Terms or your use of the Software shall be subject to the exclusive jurisdiction of the courts in our operating jurisdiction.

16. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

  • We will update the "Last updated" date at the top of this page
  • We will notify registered users via email
  • We may display a notice on our website

Continued use of our products after changes constitutes acceptance of the new terms. If you do not agree to the modified terms, you must stop using our services.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ayelom regarding the use of our Software and services. These Terms supersede any prior agreements or communications.
